Mfe enters Portugal: 32.9% of the Impresa group acquired | EUROtoday

Mfe-Mediaset has acquired a 32.9% stake in Impresa (Sociedade Gestora de Participações Sociais), the main multimedia group in Portugal, writer of the Sic tv networks and digital and print publications, together with the weekly Expresso. This was made identified, after an extended negotiation, in a word from Biscione, which specifies that the funding doesn’t embrace a controlling share.

The enlargement

Mfe thus expands its presence within the Iberian peninsula and in Europe, reaching the purpose of working in six nations: Italy, Spain, Germany, Austria, Switzerland (after the ‘conquest’ of Prosieben) and, after all, Portugal. The transfer by the group led by Pier Silvio Berlusconi «arises from an industrial logic and collaboration with the Balsemão household, historic shareholders of Impresa, with the goal of growing a long-term widespread venture. The collaboration will begin instantly, from promoting assortment to the event of the digital platform”, adds Biscione. For Mfe, Portugal is «a market in line with its vision of a European media company, capable of enhancing local productions and growing through digital platforms and new technologies», concludes the group. Mediobanca is Impresa’s advisor in the agreement with Mfe-Mediaset.

The terms of the agreement

Subject to the approval of Impresa’s shareholders, the board of directors of the Portuguese group will approve a share capital increase dedicated to Mfe of approximately 17.3 million euros, through the issue of 82,500,000 newly issued shares at a unit price of 0.21 euros, corresponding to the volume-weighted average price of Impresa shares in the six months preceding 15 October 2025 (inclusive). The closing of the operation of Biscione’s entry with almost 33% into the Portuguese group, expected within 45-60 days, is subject to the fulfillment of the usual conditions precedent, including the authorization by the Portuguese securities market commission relating to the exemption for Mfe from the obligation to promote a mandatory takeover bid on Impresa’s shares, the release of waivers by the financial institutions and the approval by Impresa’s shareholders.

The Investment Agreement also provides for the stipulation of a shareholders’ agreement between Mfe and Impreger (the company of the heirs of the founder of Impresa) relating to the future governance of Impresa, in line with the usual governance rights attributed to minority but industrial shareholders. Under the terms of the Investment Agreement, Impreger, led by the Balsemão family, will retain control of Impresa. Mfe expects to finance the transaction using its own financial resources and that the same will have no impact on the outlook for the 2025 financial year, as last communicated to the market on 20 November 2025.
